Scope of Application & Provider
These Terms of Service ("Terms") govern all business relationships between Meinheim AI Labs (a freelance venture under Meinheim360, operated by Nithin Nadakkaparambil Uthaman, Gollstrasse 68, 30559 Hannover, Germany) and its clients and users ("Client").
By booking a service, submitting an enquiry, using this website, or entering into a project agreement with Meinheim AI Labs, you confirm that you have read, understood, and agreed to these Terms.
Services Offered
Meinheim AI Labs provides the following categories of services:
- Digital portfolio and website design & development
- Custom AI agent development and deployment
- Smart workflow automation (Zapier, Make, n8n, API integrations)
- 3D and interactive website development (Three.js, WebGL)
- Startup operational systems and launch workflows
- Personal AI systems and productivity tools
- Technology consulting and strategy sessions
The exact scope of each engagement is defined in a separate project proposal or agreement confirmed in writing (email confirmation is sufficient).
Contract Formation & Offers
All information on our website, including service descriptions and pricing indications, constitutes an invitation to negotiate — not a legally binding offer.
A binding contract is formed when:
- The Client submits a project brief or books a discovery call
- Meinheim AI Labs provides a written project proposal
- The Client confirms acceptance of the proposal in writing (email)
Prices & Payment
All prices are quoted in Euros (€) and are net prices. As a freelancer operating under the Kleinunternehmerregelung (§19 UStG), Meinheim AI Labs does not charge VAT. This will be clearly stated on all invoices.
- A deposit of up to 50% may be required before project commencement
- Final payment is due upon project delivery or as agreed in the proposal
- Payment is due within 14 days of invoice date unless otherwise agreed
- Late payments may incur statutory default interest under §288 BGB
Delivery & Project Timelines
Project timelines are agreed individually and set out in the project proposal. Meinheim AI Labs commits to delivering work within the agreed timeframe, subject to the Client providing all required materials and feedback promptly.
- Timelines may be adjusted if the Client causes delays in feedback or material delivery
- Any material changes to the project scope may affect the timeline and price
- Meinheim AI Labs will notify the Client of any anticipated delays as early as possible
- Force majeure events (illness, technical failure, etc.) may extend delivery dates without liability
Client Obligations
To ensure successful project delivery, the Client agrees to:
- Provide all required content, assets, credentials, and feedback in a timely manner
- Ensure that any materials submitted do not infringe third-party intellectual property rights
- Appoint a single point of contact for communication and decisions
- Review and approve deliverables within the timeframe specified in the proposal
- Not use our services for unlawful, harmful, or unethical purposes
Intellectual Property Rights
Upon full and final payment, Meinheim AI Labs transfers the agreed usage rights of all custom deliverables to the Client. Until full payment is received, all work remains the intellectual property of Meinheim AI Labs.
- Source code, design files, and documentation are transferred as agreed in writing
- Meinheim AI Labs retains the right to display completed work in its portfolio unless agreed otherwise
- Third-party components, open-source libraries, or licensed assets remain subject to their original licences
- The Client may not resell or redistribute deliverables as their own product without prior written consent
Liability & Disclaimer
Meinheim AI Labs provides services with professional care and diligence. However, the following limitations apply:
- Meinheim AI Labs is not liable for indirect, consequential, or loss-of-profit damages unless caused by gross negligence or wilful misconduct
- Total liability for any claim is limited to the value of the relevant project contract
- Meinheim AI Labs is not responsible for the performance of third-party tools, APIs, or platforms (e.g. Calendly, OpenAI, Zapier)
- AI-generated outputs are provided as-is; the Client is responsible for reviewing and validating all AI-generated content before use
Confidentiality
Both parties agree to treat all information exchanged during the project as confidential, including business processes, technical details, pricing, and client data. This obligation survives the termination of the engagement.
- Neither party shall disclose confidential information to third parties without prior written consent
- Confidentiality does not apply to information that is publicly available or independently developed
- A separate Non-Disclosure Agreement (NDA) can be signed upon request
Termination & Cancellation
Either party may terminate a project engagement under the following conditions:
- Client cancellation: If the Client terminates after project commencement, all work completed to date is invoiced and due for payment
- Provider termination: Meinheim AI Labs reserves the right to terminate if the Client breaches these Terms or acts in bad faith
- Mutual agreement: Either party may end the engagement by mutual written agreement at any time
Upon termination, Meinheim AI Labs will deliver all completed work and the Client will settle any outstanding invoices within 14 days.
Data Protection
The processing of personal data in connection with our services is governed by our Privacy Notice, which forms part of our legal documentation.
- Personal data is processed in accordance with the GDPR and German BDSG
- Client data is used exclusively for project delivery and communication
- Data is not sold or transferred to third parties beyond what is disclosed in our Privacy Notice
Governing Law & Jurisdiction
These Terms are governed exclusively by the laws of the Federal Republic of Germany. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
The place of jurisdiction for all disputes arising from or in connection with these Terms is Hannover, Germany, provided the Client is a merchant, legal entity under public law, or has no general place of jurisdiction in Germany.
Changes to These Terms
Meinheim AI Labs reserves the right to update these Terms at any time. The date at the top of this document reflects the most recent revision. For ongoing projects, the Terms in effect at the time of contract formation apply unless both parties agree in writing to updated Terms.
We recommend checking this page periodically. Continued use of our services after changes are published constitutes acceptance of the updated Terms.
